Welcome to Modfolios, an online marketplace where members (models, creators, and individuals) can sell their digital portfolios and videos to buyers (content creators, marketing agencies, and individuals). By accessing or using Modfolios, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.

1. Introduction & General Scope

1. Modfolios is a digital marketplace platform that facilitates transactions between members (sellers) and buyers. Modfolios does not create, own, or control the digital content offered by members.
2. All transactions conducted through Modfolios involve the sale of licensed digital products only. No physical goods are sold or delivered.
3. Purchases grant buyers a license to use the content according to the seller’s specified terms. Ownership of intellectual property remains with the original creator unless explicitly transferred in writing.

2. Definitions

• “Member” or “Seller” – An individual or entity registered on Modfolios to sell digital portfolios or videos.
• “Agency” or “Buyer” or “Customer” – An individual or entity purchasing licensed digital products on Modfolios.
• “Content” – Digital portfolios, videos, or other licensed media uploaded by members for sale.
• “KYC Verification” – The identity verification process required before withdrawal of earnings.
• “Platform” – The Modfolios website, applications, and services.

3. Member (Seller) Obligations

1. Eligibility: Members must be at least 18 years of age to register and participate.
2. Prohibited Content: Members may not upload or sell pornography, explicit adult material, AI-generated content, or content that is illegal, abusive, discriminatory, or otherwise prohibited under applicable law.
3. Content Compliance: Members are solely responsible for ensuring their content complies with copyright, intellectual property, and licensing laws.
4. License to Platform: By uploading content, members grant Modfolios a non-exclusive, royalty-free license to display, market, distribute, and process their digital content for marketplace purposes.
5. KYC Requirement:
   • KYC verification is not required at registration.
   • KYC verification is mandatory before any withdrawal of earnings. Failure to complete KYC will delay or prevent payouts.
6. Legal Compliance: Members must comply with all applicable local, national, and international laws when using the platform.

4. Buyer (Customer) Obligations

1. License Use: Buyers must use purchased content only under the license terms specified (personal or commercial use).
2. Restrictions: Buyers may not redistribute, resell, sublicense, or exploit content outside the permitted license.
3. Payment Integrity: Buyers may not engage in fraudulent transactions, chargebacks, or misuse of payment methods.
4. Content Acknowledgment: Buyers acknowledge that all content is uploaded by members and Modfolios does not guarantee its quality, legality, or fitness for a particular purpose.

5. Platform & Transactions

1. Intermediary Role: Modfolios acts solely as an intermediary between members and buyers. It does not warrant the accuracy, legality, or originality of member content.
2. Payments: Payments are processed securely through approved third-party payment processors. Modfolios deducts applicable commissions/fees before remitting payouts.
3. Refunds: Refunds are only granted in limited cases, such as technical issues with file delivery. Refunds will not be issued for buyer dissatisfaction or preference once digital content has been accessed.
4. Account Suspension: Modfolios reserves the right to suspend or terminate accounts for violations of these Terms, including but not limited to:
   • Underage membership
   • Upload or sale of prohibited content
   • Copyright or licensing violations
   • Fraudulent or abusive behavior

6. Licensing & Intellectual Property

1. License Nature: All purchases are for licenses only, not ownership.
2. Seller Rights: Intellectual property remains with the original creator unless explicitly transferred under a separate agreement.
3. Platform License: Modfolios may use member content for promotional or operational purposes, subject to these Terms.

7. Liability & Indemnification

1. Disclaimer of Liability: Modfolios is not responsible for any damages, losses, or disputes arising from:
   • User-generated content
   • Interactions between members and buyers
   • Unauthorized use of licensed content
2. Indemnification: Members and buyers agree to indemnify and hold harmless Modfolios, its affiliates, and partners against claims, damages, or legal actions arising from their actions or content.

8. Prohibited Uses

Users of Modfolios may not:

• Upload or sell pornography or explicit adult content
• Violate intellectual property rights
• Circumvent licensing restrictions
• Engage in fraud, money laundering, or illegal activity
• Harm the platform’s security, infrastructure, or reputation

9. Dispute Resolution

1. Internal Resolution: Members and buyers are encouraged to resolve disputes directly.
2. Arbitration: In the event disputes cannot be resolved, they shall be submitted to binding arbitration under [Insert Jurisdiction] law.
